These Terms of Service ("Terms") govern your access to and use of Deskly AI, including getdeskly.com, our web application, AI receptionist, scheduling functionality, and related services (collectively, the "Services").
By creating an account or using the Services, you agree to these Terms.
If you do not agree with these Terms, do not use the Services.
1. Description of Deskly
Deskly provides software that enables businesses to configure and use AI-powered receptionist and scheduling functionality.
Depending on the features available to you, Deskly may allow you to:
- Configure an AI receptionist
- Receive AI-assisted telephone calls
- Conduct demo calls
- Generate call transcripts
- Generate AI call summaries
- View call history
- Manage basic appointment schedules
- Configure business information
- Configure call-forwarding or transfer settings
- Configure AI behavior and instructions
Deskly is a software platform
Deskly does not provide medical, dental, veterinary, legal, financial, or other professional services.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use Deskly.
If you use Deskly on behalf of a business or organization, you represent that you have authority to bind that organization to these Terms.
3. Your Account
You are responsible for:
- Providing accurate account information
- Maintaining the security of your account
- Protecting your login credentials
- Maintaining the security of any connected accounts
- All activity conducted through your account

You must notify Deskly if you believe your account has been accessed without authorization.
4. Demo Calls
Deskly may provide users with a limited AI receptionist demonstration.
The demo may include:
- A telephone call to the phone number provided by you
- AI-generated conversation
- Call recording or transcription
- AI-generated summary
Demo limitations
Demo calls may be subject to time, usage, or other limitations.
Deskly may limit or discontinue demo functionality at any time.
5. AI Services
Deskly uses artificial intelligence to provide portions of the Services.
You understand and agree that AI systems may:
- Misunderstand callers
- Produce inaccurate information
- Generate incomplete transcripts
- Generate incorrect summaries
- Provide incorrect answers
- Fail to complete requested actions
- Require human intervention
AI review responsibility
You are responsible for reviewing and configuring your AI agent appropriately for your business.
You should not rely on Deskly's AI as a substitute for professional judgment.
6. Business Configuration
You are responsible for information and instructions you provide to Deskly, including:
- Business name
- Business hours
- Appointment availability
- Business policies
- AI instructions
- Frequently asked questions
- Transfer numbers
- Call-routing rules
Business information accuracy
You are responsible for ensuring that the information provided to your AI agent is accurate and up to date.
7. Telephone Calls
You are responsible for your use of Deskly's telephone functionality.
This includes complying with applicable laws relating to:
- Telephone communications
- Call recording
- Call interception
- Consent
- Automated calls
- Robocalls
- Telemarketing
- Do-not-call requirements
- Caller disclosures
Telephone compliance
Deskly does not guarantee that your particular use of the telephone functionality complies with applicable law.
You should obtain appropriate legal advice regarding your specific use case.
8. Customer Data
You may provide customer information to Deskly in connection with your use of the Services.
You retain ownership of information and content that you submit to Deskly ("Customer Data").
You grant Deskly a limited, non-exclusive right to process Customer Data solely as necessary to:
- Provide the Services
- Process calls
- Generate transcripts
- Generate summaries
- Provide scheduling functionality
- Maintain and secure the Services
- Provide customer support
Customer Data responsibility
You are responsible for ensuring that you have the necessary rights and permissions to provide Customer Data to Deskly.
9. Healthcare and Sensitive Information
Unless Deskly has entered into a separate written agreement with you specifically permitting such processing, you agree not to use Deskly to process Protected Health Information ("PHI") subject to HIPAA.
Deskly does not provide medical advice or make medical decisions.
If you operate a healthcare, dental, veterinary, or other regulated business, you are responsible for determining whether your use of Deskly complies with applicable privacy and regulatory requirements.
10. Acceptable Use
You may not use Deskly to:
- Violate applicable laws
- Commit fraud
- Impersonate another person or business unlawfully
- Harass or threaten individuals
- Conduct unlawful telemarketing
- Make unlawful automated calls
- Send unlawful communications
- Collect information without required consent
- Attempt unauthorized access to Deskly
- Interfere with the operation of the Services
- Reverse engineer the Services except where permitted by law
- Use the Services to facilitate illegal activity
11. Third-Party Services
Deskly may integrate with or rely on third-party services, including telecommunications providers, AI providers, authentication providers, hosting providers, and other technology providers.
Third-party services may have their own terms and privacy policies.
Deskly is not responsible for the availability, performance, security, or functionality of third-party services.
12. Availability
We will use reasonable efforts to maintain the availability of the Services.
However, Deskly does not guarantee that the Services will:
- Always be available
- Be uninterrupted
- Be error-free
- Successfully connect every telephone call
- Always generate accurate AI responses
- Always correctly schedule appointments
Third-party outages
Telephone networks, cloud infrastructure, AI providers, and other third-party systems may experience outages or failures outside of Deskly's control.
13. Fees
Certain Deskly features may require payment.
If you subscribe to a paid plan, you agree to pay the applicable fees described at the time of purchase.
Fees may include subscription fees or usage-based fees.
Unless otherwise stated or required by law, payments are non-refundable.
14. Suspension and Termination
Deskly may suspend or terminate your access to the Services if:
- You violate these Terms
- You fail to pay applicable fees
- You use the Services unlawfully
- Your use creates security or operational risks
- We reasonably believe suspension is necessary to protect Deskly or other users
Stopping use
You may stop using the Services at any time.
15. Intellectual Property
Deskly and its software, technology, interfaces, trademarks, logos, and other materials are owned by Deskly or its licensors.
Except for the limited rights expressly provided in these Terms, you receive no ownership rights in Deskly's technology.
You retain ownership of your Customer Data.
16. Feedback
If you provide suggestions, ideas, or feedback regarding Deskly, you grant Deskly the right to use that feedback without compensation or restriction.
17. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
DESKLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
DESKLY DOES NOT WARRANT THAT:
- THE SERVICES WILL BE UNINTERRUPTED;
- AI RESPONSES WILL BE ACCURATE;
- TRANSCRIPTS WILL BE COMPLETE;
- SUMMARIES WILL BE ACCURATE;
- APPOINTMENTS WILL ALWAYS BE CORRECTLY SCHEDULED; OR
- THE SERVICES WILL MEET YOUR PARTICULAR BUSINESS REQUIREMENTS.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DESKLY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DESKLY'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF:
(A) THE TOTAL AMOUNT YOU PAID TO DESKLY DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
(B) $100.
19. Indemnification
You agree to defend, indemnify, and hold harmless Deskly and its officers, directors, employees, affiliates, and service providers from claims, damages, liabilities, and expenses arising from:
- Your use of the Services
- Your Customer Data
- Your violation of these Terms
- Your violation of applicable law
- Your failure to obtain required consent
- Your use of automated telephone or messaging functionality
20. Changes to These Terms
We may modify these Terms from time to time.
If we make material changes, we may provide notice through the Services or our website.
Your continued use of Deskly after the updated Terms become effective constitutes acceptance of the revised Terms.
21. Governing Law
These Terms will be governed by the laws applicable to Deskly's principal place of business, without regard to conflict-of-law principles, except where otherwise required by applicable law.
